1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WAIT INC ("we", "us", "our", or the "Company") governing your access to and use of the WAIT INC trading platform, website, mobile applications, and related services (collectively, the "Platform"). By accessing, registering for, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

2. Eligibility

To use our Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
  • Have the legal capacity to enter into a binding agreement;
  • Not be a resident of or located in any jurisdiction where the use of our Platform would be prohibited by applicable law;
  • Not be a citizen or resident of, or located in, a country subject to United States economic sanctions;
  • Not be identified as a "Specially Designated National" by the Office of Foreign Assets Control;
  • Not be placed on the U.S. Commerce Department's Denied Persons List.

We reserve the right to refuse access to the Platform to anyone at any time for any reason, including but not limited to violation of these Terms or applicable laws and regulations.

3. Account Registration and Security

To access certain features of our Platform, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide accurate and truthful information during the registration process;
  • Maintain and promptly update your account information to keep it accurate and complete;
  • Maintain the security and confidentiality of your login credentials;
  • Implement strong security measures, including enabling two-factor authentication when available;
  • Notify us immediately of any unauthorized access to or use of your account;
  • Accept responsibility for all activities that occur under your account, whether or not authorized by you.

We may require additional verification information at any time to comply with applicable laws and regulations, including Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements. Failure to provide requested information may result in suspension or termination of your account.

4. Trading Services and Functionality

Our Platform provides access to various trading services and functionalities, which may include:

  • Trading of cryptocurrencies, digital assets, and other financial instruments;
  • Automated trading strategies and bots;
  • Market data and analysis tools;
  • Portfolio management features;
  • API access for programmatic trading.

All trading activities are subject to:

  • Market conditions and availability;
  • Regulatory requirements and restrictions;
  • Platform rules, limitations, and technical constraints;
  • Fee schedules and transaction costs;
  • Trading limits and restrictions that may be imposed on your account.

We reserve the right to modify, suspend, or discontinue any aspect of our Platform at any time without prior notice. We do not guarantee the availability of any specific trading pairs, assets, or functionalities.

5. Third-Party Exchanges and Services

Our Platform may integrate with or provide access to third-party exchanges, services, or applications. You acknowledge and agree that:

  • You are responsible for complying with the terms and conditions of any third-party services you use in connection with our Platform;
  • We are not responsible for the availability, accuracy, or security of third-party services;
  • We do not endorse, guarantee, or assume responsibility for any third-party services;
  • You bear all risks associated with using third-party services;
  • You are responsible for maintaining the security of any API keys or credentials used to connect to third-party services.

6. Risks and Disclaimers

Trading in cryptocurrencies, digital assets, and other financial instruments involves significant risks. By using our Platform, you acknowledge and accept the following:

  • Trading involves a high risk of loss, including the potential loss of your entire investment;
  • Cryptocurrency markets are highly volatile and unpredictable;
  • Past performance is not indicative of future results;
  • Automated trading strategies do not guarantee profits and may result in losses;
  • Technical issues, market conditions, or other factors may affect trading execution;
  • Regulatory changes may impact the availability or legality of certain assets or trading activities;
  • You should only trade with funds you can afford to lose;
  • You are solely responsible for your trading decisions and their outcomes.

You should carefully consider your investment objectives, financial situation, and risk tolerance before engaging in trading activities. We strongly recommend seeking advice from independent financial advisors if you have any doubts.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Fees and Charges

We charge fees for our trading services as outlined in our Fee Schedule, which is available on our Platform. By using our services, you agree to pay all applicable fees. You acknowledge and agree that:

  • Fees may vary based on trading volume, subscription tier, or other factors;
  • We reserve the right to modify our fee structure at any time with appropriate notice;
  • Fees are due immediately and are non-refundable except as required by applicable law;
  • You are responsible for all taxes, duties, and other governmental charges related to your use of our Platform;
  • Additional fees may be charged by third-party services, exchanges, or payment processors.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or third-party rights;
  • Engaging in market manipulation, fraud, or deceptive trading practices;
  • Attempting to interfere with, compromise, or disrupt the Platform or servers;
  • Accessing or attempting to access other users' accounts;
  • Using the Platform for money laundering, terrorist financing, or other illegal activities;
  • Circumventing or attempting to circumvent any security measures;
  • Using automated systems or software to extract data from the Platform (scraping) without our prior written consent;
  • Reverse engineering, decompiling, or disassembling any software used in the Platform;
  • Using the Platform in a manner that could damage, disable, overburden, or impair its functionality;
  • Creating multiple accounts to circumvent trading limits or other restrictions;
  • Providing false, inaccurate, or misleading information;
  • Using the Platform on behalf of any third party without our express permission.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting you to law enforcement authorities.

9. Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by WAIT INC, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
  • You may store files that are automatically cached by your Web browser for display enhancement purposes;
  • You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

10. Termination and Suspension

We reserve the right, at our sole discretion, to suspend or terminate your access to the Platform, including your account, at any time for any reason, including but not limited to:

  • Violation of these Terms;
  • Suspected fraudulent, abusive, or illegal activity;
  • Regulatory requirements or changes in applicable law;
  • Extended periods of inactivity;
  • Requests by law enforcement or other government agencies;
  • Technical or security issues;
  • Non-payment of fees.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by following the instructions on the Platform. Termination of your account does not relieve you of any obligations incurred prior to termination.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAIT INC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

WITHOUT LIMITING THE FOREGOING, WE WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM:

  • Errors, mistakes, or inaccuracies in the Platform;
  • Trading losses or missed opportunities;
  • Personal injury or property damage resulting from your access to and use of the Platform;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any interruption or cessation of transmission to or from the Platform;
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform;
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Platform.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless WAIT INC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

14. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter.

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

We will make reasonable efforts to notify you of material changes to these Terms by posting a notice on our Platform or sending an email to the address associated with your account.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and WAIT INC regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Waiver. No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
